The three structures
The clauses that actually matter
- Scope and outcomes, written as deliverables rather than activities
- Delegated powers: spending limits, hiring and dismissal authority, signature rights
- Notice on both sides, usually thirty to sixty days
- Confidentiality and, where relevant, a narrow non-compete limited in time and market
- Insurance and indemnity, particularly when formal powers are granted
- Intellectual property in anything created during the mandate
Liability when formal powers are granted
An executive appointed amministratore delegato takes on the legal responsibilities of a director under Italian law, including obligations in the vicinity of insolvency. That is not a reason to avoid the appointment, but it is a reason to agree insurance cover and indemnity in writing before accepting it, and to insist on accurate financial information from day one.
